These Terms of Service ("Terms") govern your access to and use of the website located at foundation-ai.net (the "Site") and any services, products, or consulting engagements offered by Foundation AI LLC ("Foundation AI," "we," "us," or "our"). Specific terms, deliverables, timelines, and fees for individual engagements are governed by a separate Statement of Work ("SOW") or service agreement executed between Foundation AI and the client. In the event of any conflict between these Terms and an executed SOW, the SOW shall control.
You must be at least 18 years of age and have the legal authority to enter into binding contracts on behalf of yourself or the organization you represent to use our services. By using our Site or engaging our services, you represent and warrant that you meet these requirements.
All content on this Site — including text, graphics, logos, designs, and software — is the exclusive property of Foundation AI LLC or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws.
Unless otherwise agreed in a written engagement agreement, any work product, deliverables, or custom systems developed by Foundation AI for a client will be governed by the intellectual property terms set forth in the applicable SOW. Foundation AI retains ownership of all pre-existing tools, methodologies, frameworks, and know-how used in delivering services.
Each party agrees to keep confidential any non-public, proprietary, or sensitive information disclosed by the other party in connection with the services ("Confidential Information"). Neither party will disclose the other's Confidential Information to any third party without prior written consent, except as required by law or as necessary to deliver the agreed services. This obligation survives termination of any engagement.

To the maximum extent permitted by applicable law, Foundation AI LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of our Site or services — even if Foundation AI has been advised of the possibility of such damages.
Foundation AI's total cumulative liability to you for any claims arising under these Terms shall not exceed the total fees paid by you to Foundation AI in the three (3) months preceding the claim.
Our Site and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Foundation AI does not warrant that its services will be uninterrupted, error-free, or free of viruses or other harmful components.
You agree to indemnify, defend, and hold harmless Foundation AI LLC and its members, managers, employees, agents, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our Site or services, your violation of these Terms, or your violation of any rights of a third party.
These Terms are governed by the laws of the State of Colorado, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or our services that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration under the rules of the American Arbitration Association in Denver, Colorado. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction in Arapahoe County, Colorado.
Your use of our Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Site, you consent to the collection and use of information as described in our Privacy Policy.
Foundation AI reserves the right to modify these Terms at any time. We will post the updated Terms on this page with a revised effective date. Your continued use of our Site or services after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
Either party may terminate a service engagement in accordance with the terms of the applicable SOW. Foundation AI reserves the right to suspend or terminate your access to the Site immediately, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.
These Terms, together with any executed SOW or service agreement, constitute the entire agreement between you and Foundation AI LLC with respect to the subject matter herein and supersede all prior or contemporaneous communications and proposals, whether oral or written.
